FCP Venture X QP LLC operates as a series limited liability company, allowing the Manager to establish separate and distinct series of non-voting membership interests. Each series:
Invests in specific Portfolio Companies identified by the Investment Manager
Remains segregated from other series with separate assets and liabilities
Has terms, rights, and preferences detailed in a Series Supplement
Provides investors exposure to individual investment opportunities
Investment in one series does not provide rights to invest in other series. Members of a series are only entitled to benefits of that particular series and do not share in profits, losses, or distributions of other series.
The Company seeks to identify and invest in companies with:
Focus on opportunities believed to have liquidity potential within 2-5 years through IPO, sale, merger, or other exit strategies.
Emphasis on experienced management teams capable of executing on market opportunities.
Direct investments generally seek protective provisions, including liquidation preferences and anti-dilution protection.
Companies in competitive markets with potential for significant growth.
Portfolio Companies may be in early development stages, may not have proven operating histories, may operate at losses, may require substantial additional capital, and may face intense competition. Many emerging growth companies fail. There is no assurance that any Portfolio Company will achieve successful outcomes or that the Company will realize profitable returns.
